Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FiorLab platform operated by FiorLab Limited (CRO 813471), a company incorporated in Ireland ("FiorLab", "we", "us"). By creating an account or using the platform, you agree to be bound by these Terms.

1. Definitions

"Buyer" means any organization using FiorLab to evaluate suppliers. "Supplier" means any organization submitting data for assessment. "User" means any individual accessing the platform. "Assessment Data" encompasses financial, compliance, sustainability, delivery, quality, and innovation data submitted to the platform.

2. Eligibility and Account Registration

You must be at least 18 years old and have authority to represent your organization. You agree to provide accurate, current, and complete information during registration and to maintain the security of your credentials. You must report unauthorized access immediately to security@fiorlab.com.

3. Permitted Use

The platform is for lawful business purposes related to supplier risk management. You may not: use the platform for unlawful purposes; submit false or misleading data; access accounts without authorization; reverse engineer or decompile any part of the platform; use automated tools without written permission; or resell or sublicense access.

4. Assessment Scores and Reports

FiorLab assessment scores and reports are decision-support tools only. They do not constitute financial advice, credit ratings, legal opinions, or regulatory endorsements. We make no warranty that scores are error-free or suitable for any particular purpose. You are solely responsible for verifying information and making your own business decisions. FiorLab accepts no liability for decisions made in reliance on assessment scores.

5. Pharmaceutical and GxP Data

FiorLab scores do not replace qualified person (QP) sign-off or any regulatory approval. Users in pharmaceutical and regulated industries must comply with EU GMP, GDP, ICH, and HPRA standards independently. FiorLab maintains audit logs for a minimum of 7 years and will cooperate with regulatory inspections as required.

6. Data Ownership

You retain ownership of all data you submit to FiorLab. By using the platform, you grant FiorLab a limited, non-exclusive licence to process, store, and display your data solely for the purpose of providing the service. Buyer access is restricted to their registered suppliers only.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, including supplier financial data and buyer procurement strategies. Confidentiality obligations survive termination of these Terms.

8. Intellectual Property

FiorLab owns all platform components including design, scoring algorithms, assessment frameworks, and associated trademarks. You may not copy, modify, distribute, or create derivative works from any FiorLab intellectual property without written consent.

9. API Usage

Access to the FiorLab Public API is subject to these Terms and any additional API-specific terms. API keys are confidential and must not be shared. Rate limits apply per key. FiorLab may revoke API access for abuse, excessive load, or violation of these Terms. API data is provided "as is" and subject to the same limitations as platform data.

10. Service Availability

FiorLab targets high availability but does not guarantee uninterrupted access. We are not liable for downtime caused by maintenance, internet outages, or force majeure events. Scheduled maintenance will be announced with reasonable notice.

11. Fees and Payment

Pricing is available on our website and may change with 30 days' notice. Fees are non-refundable except as required by law and may be billed monthly or annually. Failure to pay may result in account suspension.

12. Termination

You may terminate your account at any time by contacting hello@fiorlab.com. FiorLab may suspend or terminate accounts for breach of these Terms with notice where practicable. Data exports will be provided within 30 days of termination.

13. Limitation of Liability

To the maximum extent permitted by law, FiorLab's total liability is limited to the amounts you paid in the preceding 12 months. FiorLab is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, regardless of the cause of action or theory of liability.

14. Indemnification

You agree to indemnify and hold harmless FiorLab, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, breach of these Terms, or violation of third-party rights.

15. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. FiorLab does not warrant that the platform will be error-free, secure, or available at all times.

16. Dispute Resolution

These Terms are governed by the laws of Ireland. Any dispute shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the courts of Ireland.

17. Changes to Terms

FiorLab may update these Terms with 30 days' notice via email. Continued use of the platform after the notice period constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account.
